Channel Protection
Brand owners use these limits to preserve regional profit margins and encourage local service investment. When a distributor knows their market is protected by active sales prohibitions, they invest more heavily in local training, customer support, and product promotion. This protection reduces the risk of free-riding, where a low-cost distributor from another territory benefits from the marketing efforts of a local distributor without sharing the costs.
Regulatory Compliance
Rules governing distribution networks differ significantly between jurisdictions. For instance, European Union competition law permits active sales prohibitions in exclusive distribution agreements provided they do not restrict passive sales or cross-supplies between distributors within the selective network. Unauthorized bans can lead to substantial fines and render the entire contract legally unenforceable.
