Financial allocations held by a manufacturer for joint marketing activities with a distributor represent a liability against gross sales. A co-op reserve accumulates as a percentage of every purchase order placed by the trade partner. This fund remains restricted until the partner provides proof of advertising or promotion that follows brand guidelines.
Accrual Process
Manufacturers often set aside a fixed percentage of every invoice, usually between one and three percent, to fund these collaborative efforts. As the sales volume grows, the co-op reserve grows in parallel, providing the distributor with a larger budget for the next promotional cycle. This money is held on the balance sheet of the supplier as an accrued liability until it is spent or the eligibility period expires.
Fund Eligibility
Access to the accrued money requires the distributor to submit documentation of their advertising spend. A co-op reserve claim must include copies of print ads, digital campaign metrics or photos of in-store displays. If the promotional material does not feature the logo of the manufacturer in a prominent position, the request for reimbursement is denied.
This ensures the brand identity remains consistent across different regions and sales channels.
Marketing Constraint
Brand owners impose strict rules on how these funds are deployed to maintain a premium market position. A co-op reserve cannot be used for clearance sales or to promote products from a competing manufacturer. If a distributor violates these terms, they forfeit the entire balance of the fund for that period.
