This distinct legal status distinguishes them from distributors who buy and resell goods on their own account.
Under standard distribution agreements, the principal retains ownership of the inventory and bears the credit risk of the transaction. The commercial agents receive a commission calculated as a percentage of the net sales price.
Contractual Mandate
A written agreement defines the precise scope of authority granted to these representatives within a specified geographic territory. While some contracts permit the commercial agents to conclude agreements directly, other arrangements restrict their activity to soliciting orders that the principal must formally approve. The document specifies whether the appointment is exclusive or non-exclusive, which directly affects the commission structure for passive sales within the region.

Commission Structure

Payment timing usually depends on the customer settling the invoice, which aligns the interests of the principal and the representative.

Termination Compensation
Statutory protections often mandate a substantial payout to the representative upon the dissolution of the contract. This indemnity arises because the commercial agents have built a customer base that continues to benefit the principal. The compensation is typically limited to a maximum of one year of commission.
