Administrative notifications filed in a public registry secure a lender’s priority over specific assets purchased with the funds provided by that lender. A PMSI filing allows a creditor to jump to the front of the line, even if other lenders already have a general claim on all the debtor’s property. This type of filing is common in equipment financing and wholesale inventory supply arrangements.
Perfection Method
Formal registration in a central database is required to make the security interest enforceable against other parties. When a supplier completes a PMSI filing, they provide public notice that they have a special claim on specific goods. This notice must be accurate and include a detailed description of the items being financed.
Failing to file correctly or on time can result in the loss of this special priority status.
Purchase Money
Funding must be used exclusively to acquire the assets described in the security agreement for the special priority to hold. A PMSI filing is only valid if the lender can prove that their capital was the direct cause of the debtor obtaining the property. If the money is used for general operating expenses instead, the creditor loses their superpriority.
This direct link between the loan and the asset is the foundation of the legal protection.
Notification Requirement
Creditors must sometimes send direct letters to other lenders who have a prior claim on the debtor’s inventory. In some jurisdictions, a PMSI filing for inventory is only effective if existing lenders are warned beforehand. This allows the other banks to adjust their own risk assessments before the new goods arrive.
This transparency prevents the debtor from over-leveraging their business without the knowledge of their primary financiers.
