The commitment dissolves once both parties execute delivery, inspection, payment, and mutual contractual release.
Obligation Structure
Issuance of the transaction document commits the buyer to accept and pay for ordered goods conforming to specified engineering tolerances. For the seller, order acceptance creates an affirmative duty to reserve production capacity, procure raw inventory, and deliver shipments within the specified delivery window.
Breach Consequence
Unilateral order cancellations after acceptance expose the defaulting party to financial liabilities, including material reimbursement costs and lost margin damages. When suppliers fail agreed delivery milestones, purchase order terms typically authorize buyers to procure replacement goods from third parties and charge back the cost variance to the defaulting vendor.
Master Integration
