Meaning
Contractual mechanism for recovering outstanding balances by withholding payments due on unrelated transactions. Utilizing a cross deduction simplifies the reconciliation process when a supplier owes rebates, penalties or returns while also billing for new shipments. The provision must be explicitly stated in the purchase agreement or master vendor contract to be enforceable.
Offset Provision
Legal language grants the purchasing entity the authority to balance accounts across multiple subsidiaries or product lines. A cross deduction effectively pools the financial obligations of the parties involved. This reduces the need for multiple wire transfers and administrative overhead.
Settlement Logic
Treasury departments apply the credit from a marketing fund or a quality claim directly to the balance of a current inventory purchase. The cross deduction ensures that the buyer recovers funds without waiting for the supplier to issue a separate payment. Calculations usually happen during the monthly closing cycle.
Debt clears quickly. This method provides an immediate cash flow benefit to the party holding the debt.
Dispute Boundary
Disagreement over the underlying credit amount can delay the entire payment for the current invoice. A cross deduction stops at the limit of the verified debt. If the claim is unproven, the seller may demand full payment.
