These clauses require the carrier to reimburse the distributor for the landed cost of the unsaleable product.

Using passive packaging materials like insulated blankets or vacuum panels helps protect sensitive shipments during delays. These measures slow down the rate of temperature rise, ensuring that thermal degradation does not occur during customs clearance or warehouse transfers. Investment in these materials is negotiated as part of the initial distribution agreement to protect both parties’ margins.
